CORPORATE LAWYER - TAX AND LEGAL DEPARTMENT (LEGAL DIVISION)

Job Description

We are looking for an experienced Corporate Lawyer to join our Tax and Legal Department (Legal Division). Professionalism and high ethical standard are expected for this position. The successful candidate should be results driven and always keep in mind Firm’s objectives.

KEY DUTIES AND RESPONSIBILITIES

  • Handling the internal legal affairs of the Firm including but not limited to the provision of general legal advice in relation to any matter pertaining to the Firm, the Firm’s subsidiaries and the Firm’s shareholders, drafting legal documentation, reviewing legal documentation and conducting legal search;
  • Handling of the day-to-day affairs of the corporate clients of the Firm, including but not limited to arranging for execution by external Directors and drafting minutes/resolutions and legal  agreements upon request and provision of secretarial support to the corporate clients of the Firm in connection with their transactions;
  • Participation in cross border mergers, local reorganisations, reduction of share capital projects, re-domiciliation of overseas companies to Cyprus and outbound re-domiciliation of companies;
  • Submission of various forms to the Registrar of Companies in relation to change of directors/secretary, shareholder, change of name, conversion of capital, release of charge, creation of charge and/or mortgages, strike off;
  • Legal assistance to the Insolvency Practitioner of the Firm in relation to members’ voluntary liquidation and creditors’ voluntary liquidation procedures;
  • Liaison with government authorities, external domiciliary services providers and overseas registered agents for facilitation of the requests of the Firm’s clients and/or the Firm and external lawyers; and
  • Updating the UBO Registry maintained by the Registrar of Companies and the Trust Registry (CyTBor) maintained by the Cyprus Securities and Exchange Commission for the corporate clients, the Firm and the Firm’s subsidiaries.

REQUIREMENTS

  • Bachelor's degree in Law from a reputable university (minimum with merit grade)
  • Minimum of 3-5 years of proven experience in corporate law firm or as internal legal advisor in a service provider firm
  • Excellent knowledge of Cyprus companies and partnership law, employment law, fiduciary and trust law
  • Substantial understanding of applicable anti-money laundering and general protection of personal data legislation
